These Terms of Use (hereinafter “Terms”) define the rules for accessing and using the CountHub.io service offered by Ethan Consulting.

Article 1 - Purpose and Scope

1.1 Purpose

These Terms aim to define the conditions under which users (hereinafter “User” or “Users”) may access and use the CountHub service, accessible at:

1.2 Acceptance of Terms

Using the CountHub service implies full and complete acceptance of these Terms.

By creating an account, the User acknowledges:

• Having read and understood these Terms
• Accepting all provisions without reservation
• Having read the Privacy Policy
• Accepting the Terms of Sale for paid subscriptions

1.3 Modification of Terms

Ethan Consulting reserves the right to modify these Terms at any time.

In case of substantial modification:

• ✅ Users will be informed by email 30 days before implementation
• ✅ Users may refuse modifications by deleting their account
• ✅ Continued use of the service constitutes acceptance of the new Terms

Article 2 - Service Description

2.1 CountHub Presentation

CountHub is a SaaS (Software as a Service) service enabling generation of animated countdowns in GIF format, intended for integration into marketing emails, websites, or any other digital medium.

Main features:

• ✅ Create countdowns with target date and time
• ✅ Duration-based recurring countdowns (e.g., “24h flash sale” that resets daily)
• ✅ Graphic customization (colors, fonts, size, text)
• ✅ Automatic GIF generation
• ✅ Easy email integration via URL
• ✅ Countdown management dashboard
• ✅ Credit consumption statistics
• ✅ Multilingual support (8 languages: FR, EN, ES, PT, DE, IT, NL, PL)

2.2 Service Access

Access conditions:

• Have an Internet connection
• Use a recent web browser (Chrome 100+, Firefox 100+, Safari 15+, Edge 100+)
• Create an account with valid email address
• Subscribe to a paid subscription (no free version)

Availability:

• Service is accessible 24/7, except in cases of force majeure or scheduled maintenance
• Target availability rate: 99.5% (calculated monthly)

Article 3 - Account Creation and Management

3.1 Account Creation

To use CountHub, the User must create an account by providing:

Required information:

• ✅ Valid email address (serves as login identifier)
• ✅ Secure password (minimum 8 characters)

Optional information:

• First and last name
• Preferred language (automatic detection by default)
• Timezone (automatic detection by default)

3.2 Email Verification

Upon registration, a verification email is sent to the provided address.

The User must:

• Click the verification link in the email
• Verify their email address within 7 days
• Use a valid and accessible email address

In case of non-verification: Account may be automatically deleted after 7 days.

3.3 Account Security

User responsibility:

• ✅ Choose a strong password (letters, numbers, special characters)
• ✅ Keep credentials confidential
• ✅ Never share password with third parties
• ✅ Immediately inform Ethan Consulting of any fraudulent use of their account

CountHub security measures:

• 🔒 Passwords hashed with bcrypt (never stored in plain text)
• 🔒 Secure sessions with httpOnly cookies
• 🔒 CSRF protection on all requests
• 🔒 Rate limiting to prevent brute force attacks

3.4 Information Modification

User can modify account information at any time from account settings.

Note: Email address cannot be changed after registration. If you need to use a different email address, please create a new account.

3.5 Account Deletion

User can delete their account at any time from settings.

Deletion consequences:

• ✅ All personal data deleted within 30 days (grace period)
• ❌ No pro-rata refund for remaining subscription (except right of withdrawal)
• ✅ Billing data retained for 10 years (legal obligation)

Article 4 - Authorized Use of Service

4.1 Lawful Use

User agrees to use CountHub only for legal and legitimate purposes.

Authorized uses:

• ✅ Commercial marketing emails (promotions, flash sales, product launches)
• ✅ Newsletters and professional communications
• ✅ Online events (webinars, conferences, training)
• ✅ Websites and landing pages
• ✅ Social media (posts, stories, ads)
• ✅ Professional presentations and marketing materials

4.2 Compliance with Applicable Laws

User agrees to comply with:

Email marketing laws:

• ✅ GDPR (General Data Protection Regulation)
• ✅ ePrivacy Directive (consent for marketing emails)
• ✅ French Law on Confidence in the Digital Economy (LCEN)
• ✅ CAN-SPAM Act (for US recipients)

Best practices:

• Obtain prior consent from recipients (opt-in)
• Provide unsubscribe link in each email
• Respect unsubscribe requests
• Do not buy or rent email lists

Responsibility: User is solely responsible for email content and compliance with applicable laws.

Article 5 - Prohibited Uses

5.1 Prohibited Content

It is strictly forbidden to use CountHub to create countdowns containing:

❌ Illegal content:

• Unlawful, fraudulent or deceptive content
• Counterfeiting, copyright or trademark infringement
• Personal data or trade secret violations
• Incitement to commit crimes or offenses

❌ Offensive content:

• Violent, pornographic or sexually explicit content
• Hate speech, racism, xenophobia, homophobia
• Harassment, intimidation or threats
• Apology for terrorism or crimes against humanity

❌ Deceptive content:

• False promotions or scams
• Phishing, spam or fraud
• Misleading or false advertising
• Pyramid schemes or Ponzi schemes

❌ Dangerous content:

• Promotion of drugs, weapons or illegal substances
• Incitement to suicide or self-harm
• Promotion of dangerous behaviors

5.2 Abusive Uses

It is forbidden to:

❌ Technical abuse:

• Attempt to bypass credit limits or restrictions
• Automate service use excessively (scraping, bots)
• Overload infrastructure (DDoS attacks, flooding)
• Exploit security vulnerabilities

❌ Commercial abuse:

• Resell or redistribute CountHub service without authorization
• Use service to create competing service
• Share account credentials with users outside your organization

✅ Team sharing allowed: Sharing a single account within the same company or organization is permitted. All team members using the shared account are bound by these Terms. The account holder remains responsible for all activity on the account.

❌ Content abuse:

• Mass spamming (sending unsolicited emails)
• Use for hacking or piracy activities
• Unauthorized collection of personal data

5.3 Sanctions

In case of violation of these prohibitions, Ethan Consulting reserves the right to:

1. Warning: Notification email with request for immediate cessation
2. Temporary suspension: Account blocked for 7 days
3. Permanent suspension: Immediate account closure without refund
4. Legal action: Legal proceedings in case of serious violation (fraud, hacking, defamation)

Reporting: Any observed violation may be reported to competent authorities (CNIL, police, prosecutor).

Article 6 - Intellectual Property

6.1 Rights of Ethan Consulting

All elements of CountHub service are protected by intellectual property law:

• ✅ Source code (backend, frontend, API)
• ✅ Database and software architecture
• ✅ Graphic design and user interface
• ✅ Logos, trademarks and visual identity
• ✅ Documentation and website content

Registered trademark: CountHub® is a registered trademark of Ethan Consulting.

Prohibitions:

• ❌ Copy, modify, decompile or reverse engineer source code
• ❌ Use CountHub logos or trademarks without written authorization
• ❌ Create derivative works from the service

6.2 License to Use

Subscription grants User a non-exclusive, non-transferable, revocable right to use the service.

Rights granted:

• ✅ Use service to create countdowns
• ✅ Embed generated GIFs in emails and websites
• ✅ Use APIs within normal service use

Restrictions:

• ❌ No resale or redistribution of service
• ❌ No white-label use
• ❌ No copying or reproduction of source code

6.3 User-Created Content

User retains all rights to content they create:

• Countdown text
• Color choices and customizations
• Parameter configuration

License granted to Ethan Consulting:

• Ethan Consulting obtains a worldwide, non-exclusive, free, revocable license to host, display and distribute generated GIFs
• This license is limited to providing CountHub service
• GIFs may be deleted at any time by deleting countdown

User responsibility:

• User guarantees holding all rights to content they create
• User agrees not to violate third-party intellectual property rights

Article 7 - Personal Data and GDPR

7.1 Data Protection

Personal data processing is governed by our Privacy Policy.

Key principles:

• ✅ 100% hosting in France (Scaleway Paris DC3)
• ✅ No data transfers outside EU
• ✅ Full GDPR compliance
• ✅ Certified sub-processors (Scaleway, Stripe, Brevo, Plausible)

7.2 User GDPR Rights

User has the following rights:

• Right of access to their data (Art. 15 GDPR)
• Right to rectification (Art. 16 GDPR)
• Right to erasure / “Right to be forgotten” (Art. 17 GDPR)
• Right to restriction of processing (Art. 18 GDPR)
• Right to data portability (Art. 20 GDPR)
• Right to object (Art. 21 GDPR)

CountHub only uses essential cookies for service operation.

Article 8 - Liability and Warranties

8.1 Service Availability

Availability commitment:

• Target availability rate: 99.5% (measured monthly)
• Scheduled maintenance notified 48 hours in advance

Liability exclusions:

• ❌ Failures related to infrastructure provider (Scaleway)
• ❌ Force majeure events (natural disasters, massive cyberattacks)
• ❌ Issues related to User’s Internet connection
• ❌ Incompatibilities with obsolete browsers

8.2 Limitation of Liability

Ethan Consulting cannot be held responsible for:

❌ Indirect damages:

• Loss of revenue or profits
• Loss of data or business opportunities
• Damage to reputation
• Loss of customers

❌ User’s use of service:

• Content of emails sent by User
• Non-compliance with email marketing laws (GDPR, CAN-SPAM)
• Third-party intellectual property rights violations
• Damage caused to email recipients

Maximum liability: In any event, Ethan Consulting’s liability is limited to total amount paid by User over the last 12 months.

8.3 User Warranties

User warrants:

• Holding all rights to content they create
• Respecting applicable laws and these Terms
• Not infringing third-party rights
• Not using service for illegal or fraudulent purposes

In case of third-party claims: User agrees to indemnify Ethan Consulting for any damage resulting from violation of these warranties.

9.1 Support Channels

9.2 Response Times

Response time objectives (non-contractual):

• General questions: 48 business hours
• Technical issues: 24 business hours
• Critical emergencies (service unavailable): 4 business hours

Note: Times may be longer during high-traffic periods or holidays.

Article 10 - Service Modifications

10.1 Service Evolution

Ethan Consulting reserves the right to evolve CountHub service at any time.

Possible evolutions:

• Adding new features
• User interface modifications
• Performance improvements
• Bug fixes

Notification: Users will be informed of major evolutions by email.

10.2 Feature Removal

In case of removal of existing feature:

• ✅ Email notification 30 days before removal
• ✅ Ability to cancel subscription without fees
• ✅ Migration to equivalent feature if available

Article 11 - Termination

11.1 Termination by User

User may cancel their subscription at any time (see Terms of Sale Article 8).

11.2 Termination by Ethan Consulting

Ethan Consulting may terminate User’s access in case of:

1. Violation of Terms (prohibited uses, abuse)
2. Non-payment (after 10-day grace period)
3. Fraudulent activity (hacking attempts, fraud)
4. Abusive behavior (support harassment, insults)

Procedure:

• Email notification with reason for termination
• 7-day period to remedy situation
• If not remedied: immediate suspension without refund

Article 12 - Applicable Law and Jurisdiction

12.1 Applicable Law

These Terms are governed by French law.

12.2 Dispute Resolution

In case of dispute, parties agree to seek amicable solution.

Consumer mediation: In accordance with Article L.612-1 of French Consumer Code, consumer Users may use a mediator:

12.3 Competent Jurisdiction

Failing amicable solution, dispute will be brought before competent courts:

Commercial Court of Versailles (for professionals) Judicial Court of Versailles (for consumers)

Consumers may also bring proceedings before court of their place of residence.

Article 13 - Final Provisions

13.1 Entire Agreement

These Terms, together with Terms of Sale and Privacy Policy, constitute entire agreement between User and Ethan Consulting.

13.2 Partial Invalidity

If one or more provisions of these Terms are held invalid or declared as such, other provisions retain full force and effect.

13.3 Non-Waiver

Failure by Ethan Consulting to enforce a provision of these Terms shall not be interpreted as waiver of enforcing it subsequently.
