Terms of Sale

Preamble
These Terms of Sale (hereinafter “Terms of Sale”) govern the contractual relationship between:

And the Buyer (hereinafter “the Customer”): Any individual or legal entity, whether or not acting in a professional capacity, wishing to subscribe to the CountHub.io service.
Article 1 - Purpose
These Terms of Sale define the rights and obligations of the parties in the context of online sales of services offered by Ethan Consulting on the website www.counthub.io and the application app.counthub.io.
Services offered:
- Monthly or annual subscriptions to the CountHub service
- Usage credits for generating countdown GIFs
- Top-up credits to supplement subscriptions
Article 2 - Acceptance of Terms
2.1 Acceptance
Placing an order implies full and complete acceptance of these Terms of Sale, as well as the Terms of Use and Privacy Policy.
The Customer acknowledges having read all these conditions before placing an order. The Terms of Sale applicable to the order are accepted by the Customer during the ordering process by means of a checkbox. Consequently, placing an order implies full and unreserved adherence to these Terms of Sale. No special conditions may, unless formally and expressly accepted in writing by Ethan Consulting, prevail over the Terms of Sale; any unilateral modification is null and void.
2.2 Modification of Terms
Ethan Consulting reserves the right to modify these Terms of Sale at any time. The applicable Terms are those in force on the date of the order.
In case of substantial modification:
- âś… The Customer will be informed by email 30 calendar days before implementation
- âś… The Customer may cancel their subscription without fees during this period
Article 3 - Pricing
3.1 Subscription Prices
Subscription prices are indicated in euros (€) including French VAT (20%). VAT is adjusted based on the buyer’s country of residence at checkout.

3.2 Top-up Prices

Important note: Top-ups are designed for occasional use only (peak activity). For regular use, upgrading your subscription is more cost-effective.
3.3 VAT and Inclusive Pricing
All prices displayed on CountHub are final prices (TTC - Toutes Taxes Comprises). The price you see is the price you pay, regardless of your location.
VAT is calculated based on the buyer’s country of residence, in accordance with EU digital services VAT rules (OSS - One Stop Shop regime).
How inclusive pricing works:
- All customers pay the same displayed price (e.g., €29 for Pro Monthly)
- For EU consumers: VAT is included in the price (extracted from the total)
- For non-EU customers: No VAT applies, the full amount is net revenue
- The applicable VAT rate is automatically calculated at checkout via Stripe Tax
EU business customers with valid intra-Community VAT number:
- Reverse charge VAT applies
- Customer must provide a valid intra-Community VAT number at checkout
- Invoice will show €0 VAT (reverse charge - customer self-assesses VAT)
- Customer pays the displayed price (€29), receives invoice for €29 excl. VAT
Non-EU customers:
- No VAT applies (export of services)
- Customer pays the displayed price
- Invoice issued without VAT
3.4 Price Modifications
Ethan Consulting reserves the right to modify its rates at any time.
For current subscriptions:
- âś… Subscription price is guaranteed until next renewal date
- âś… Customer will be informed by email at least 30 calendar days before any price change
- âś… Customer may cancel subscription without fees before price change
Article 4 - Ordering and Payment
4.1 Order Process
- Account Creation: Customer creates an account on app.counthub.io
- Subscription Choice: Customer selects a subscription
- Payment: Customer is redirected to Stripe Checkout (secure payment). Payment is made at the time of order, therefore no early payment discount applies
- Confirmation: Customer receives confirmation email with invoice
4.2 Payment Methods
Payments are processed by Stripe (PCI-DSS Level 1 certified provider).
Accepted payment methods:
- âś… Credit card (Visa, Mastercard, American Express)
- âś… Debit card
Security:
- đź”’ Mandatory 3D Secure payment (in accordance with PSD2)
- đź”’ CountHub NEVER stores credit card numbers
4.3 Automatic Renewal
Monthly subscriptions:
- Automatic renewal every month on anniversary date
- Automatic charge on renewal day
Annual subscriptions:
- Automatic renewal every 12 months
- Automatic charge on anniversary date
Renewal notification:
- âś… Reminder email sent 7 calendar days before renewal
- âś… Ability to cancel before renewal without fees in writing or via personal account
4.4 Payment Failure
In case of payment failure at renewal:
- Day 0: Payment failure, notification email sent
- Day 3: New automatic payment attempt
- Day 7: Last automatic payment attempt
- Day 10: Subscription suspension if payment still fails
During grace period (10 calendar days):
- ⚠️ Customer can still access their account
- ⚠️ Customer can no longer create new countdowns
- ⚠️ Existing countdowns continue to function
After 10 calendar days:
- ❌ Complete subscription suspension
- ❌ Countdowns are no longer displayed
- âś… Customer can reactivate subscription by updating payment method
4.5 Late Payment Penalties (Business Customers Only)
In accordance with French Commercial Code articles L441-6 and D441-5, for business-to-business (B2B) transactions, any late payment automatically entails, without prior notice being required:
- Late payment interest at a rate equal to 3 times the legal interest rate in force, calculated on the gross amount (including VAT) remaining due
- Fixed compensation for recovery costs of €40 (forty euros)
Conditions of application:
- These penalties apply only to business customers with an intra-Community VAT number or a SIREN/SIRET number
- Penalties are due from the first day of delay following the due date
- When actual recovery costs exceed €40, additional compensation may be claimed upon presentation of supporting documents
Note: This clause does not apply to individual consumers (B2C).
Article 5 - Invoicing
5.1 Invoice Issuance
An invoice is automatically issued and sent by email to the Customer:
- âś… Upon initial subscription
- âś… At each monthly or annual renewal
- âś… For each top-up purchase
5.2 Invoice Content
Each invoice contains the following information:
- Unique invoice number
- Issue date
- Seller information (Ethan Consulting)
- Customer information (name, address, email)
- Intra-Community VAT number (if applicable)
- Description of services provided
- Amount excl. VAT, VAT, amount incl. VAT
- All other mandatory legal notices
5.3 Invoice Access
The Customer can download all invoices from:
- ✅ Their CountHub account (“Billing” section)
- âś… Stripe customer portal (link provided in invoice email)
5.4 Invoice Retention
In accordance with French legislation, Ethan Consulting retains invoices for 10 years from the issue date.
Article 6 - Service Delivery
6.1 Immediate Activation
CountHub subscriptions are activated immediately after payment confirmation.
Activation time:
- Credit card payment: Instant activation (< 2 seconds)
6.2 Service Access
Once subscription is activated, the Customer can:
- âś… Create GIF countdowns
- âś… Customize settings (colors, fonts, text)
- âś… Embed GIFs in emails and websites
- âś… View credit consumption statistics
6.3 Monthly Credits
Credit functionality:
- âś… Subscription credits are credited on renewal day
- âś… Unused credits expire at each renewal (no rollover)
- âś… Top-ups also expire at each renewal
Credit consumption:
- Create countdown: 10 credits
- Modify countdown: 2 credits
- Pause countdown: 2 credits
- GIF view (email, web, etc.): 1 credit per view
Article 7 - Right of Withdrawal
7.1 Withdrawal Period (14 days)
In accordance with Article L.221-18 of the French Consumer Code, the Customer acting as a consumer and the professional Customer meeting the conditions of Article L.221-3 of the French Consumer Code has a period of 14 calendar days from subscription to exercise their right of withdrawal, without justification or penalty.
Exception (Art. L.221-28 Consumer Code): Before any order, the Customer is asked to confirm the following via a dedicated interface:
- âś… Acceptance of Terms of Sale: The Customer confirms having read and accepted these Terms of Sale
- âś… Waiver of Withdrawal Right: The Customer expressly requests immediate execution of the service subject to these Terms of Sale and acknowledges that they will lose their 14 calendar day withdrawal right once the digital service has begun
These consents are recorded with timestamp, IP address, and Stripe session ID for proof and legal compliance purposes. Ethan Consulting provides confirmation of the Customer’s agreement.
7.2 Exercising Right of Withdrawal (if applicable)
To exercise the right of withdrawal, the Customer must:
- Send an email to contact[at]ethancg[dot]com
- Clearly indicate their decision to withdraw
- Not have used the service (creating countdowns)

7.3 Refund
In case of valid withdrawal, Ethan Consulting proceeds with full refund within a maximum of 14 calendar days from receipt of the request.
Refund is made using the same payment method as used for the initial transaction.
Article 8 - Cancellation
8.1 Cancellation by Customer
The Customer may cancel their subscription at any time, without justification.
How to cancel:
- Via their CountHub account (“Subscription” section)
- Via Stripe customer portal (link provided in billing emails)
- Or by contacting contact[at]ethancg[dot]com
Effect of cancellation:
- âś… Customer retains access until end of paid period
- âś… No future charges will be made
- ❌ No pro-rata refund for remaining period (except in case of exercising the right of withdrawal if applicable)
Example: If you cancel on January 15 and your subscription renews on February 1, you will retain access until January 31 inclusive.
8.2 Cancellation by Ethan Consulting
Ethan Consulting reserves the right to cancel a Customer’s subscription in case of:
- Violation of Terms of Use (prohibited use, fraud, abuse)
- Non-payment despite reminders (after 10 calendar day grace period)
- Abusive or fraudulent behavior
Procedure:
- Notification by email with reason for cancellation
- 7 calendar day period to remedy the situation
- If not remedied: immediate subscription suspension
In case of cancellation for violation of Terms: No refund.
Article 9 - Warranties and Liability
9.1 Service Availability
Ethan Consulting commits to providing the service with a 99.5% availability rate (calculated on monthly basis).
Exclusions:
- Scheduled maintenance (48-hour advance notice)
- Force majeure events (infrastructure failure, natural disaster, cyberattack)
- Issues related to infrastructure provider (Scaleway)
9.2 Limitation of Liability
Ethan Consulting cannot be held responsible for:
- ❌ Temporary service interruptions (maintenance, technical failures)
- ❌ Data loss in case of force majeure
- ❌ Indirect damages (loss of revenue, opportunities, data)
- ❌ Customer’s use of the service (email content, compliance with laws)
Limited liability: In any event, Ethan Consulting’s liability is limited to the total amount paid by the Customer over the last 12 months.
9.3 Warranty of Conformity and Hidden Defects Guarantee
The service provided conforms to descriptions on www.counthub.io and documentation. Customers benefit from the legal guarantees provided by French law, namely the legal warranty of conformity (Article L. 217-3 et seq. of the French Consumer Code) and the legal guarantee against hidden defects (Article 1641 et seq. of the French Civil Code), the terms of which are set out below.
Non-conformity
Article L.217-3 of the French Consumer Code: In the case of a sales contract for goods incorporating digital elements: 1° Where the contract provides for the continuous supply of digital content or a digital service for a period of two years or less, or where the contract does not specify the duration of supply, the seller is liable for defects of conformity of such digital content or digital service that appear within two years from delivery of the goods; 2° Where the contract provides for the continuous supply of digital content or a digital service for a period exceeding two years, the seller is liable for defects of conformity of such digital content or digital service that appear during the period in which it is supplied under the contract. For such goods, the applicable period does not deprive the consumer of their right to updates in accordance with the provisions of Article L. 217-19. The seller is also liable, during the same periods, for defects of conformity resulting from packaging, assembly instructions, or installation when the latter was the seller’s responsibility under the contract or was carried out under the seller’s responsibility, or when incorrect installation performed by the consumer as provided for in the contract is due to gaps or errors in the installation instructions provided by the seller.
This guarantee period applies without prejudice to Articles 2224 et seq. of the French Civil Code. The starting point for the consumer’s action is the day on which the consumer became aware of the defect of conformity.
Hidden Defects Guarantee
Article 1641 of the French Civil Code: The seller is liable for the guarantee in respect of hidden defects of the item sold which render it unfit for the purpose for which it is intended, or which so diminish that purpose that the buyer would not have purchased it, or would only have offered a lower price, had they been aware of them. Article 1648, first paragraph, of the French Civil Code: The action arising from latent defects must be brought by the buyer within two years from the discovery of the defect.
In case of non-conformity, the Customer must inform Ethan Consulting within 7 days. Ethan Consulting commits to correcting the non-conformity within reasonable time.
Article 10 - Intellectual Property
10.1 Rights of Ethan Consulting
All elements of the CountHub service (website, application, logos, trademarks, source code, documentation) are the exclusive property of Ethan Consulting and are protected by intellectual property law.
Registered trademark: CountHub® is a registered trademark of Ethan Consulting.
10.2 License to Use
The subscription grants the Customer a non-exclusive, non-transferable, and revocable right to use the CountHub service, within the framework of normal service use.
The Customer is not authorized to:
- Resell or redistribute the service
- Copy, modify, or decompile the source code
- Use the service to create a competing service
10.3 Customer Content
The Customer retains all intellectual property rights to content they create (countdown text, customizations).
Ethan Consulting reserves a worldwide, non-exclusive, free license to host, display, and distribute GIFs generated by the Customer (only within the framework of providing the service).
Article 11 - Personal Data Protection
The processing of personal data is governed by our Privacy Policy.
Key principles:
- âś… 100% hosting in France (GDPR compliance)
- âś… No data transfers outside EU
- âś… GDPR rights respected (access, rectification, deletion, portability)
- âś… Certified sub-processors (Scaleway, Stripe, Brevo, Plausible)
Article 12 - Force Majeure
Ethan Consulting cannot be held responsible for non-performance of its obligations in case of force majeure, as defined by Article 1218 of the French Civil Code.
Force majeure events:
- Natural disaster (fire, flood, earthquake)
- Major infrastructure failure (datacenter, cloud provider)
- Large-scale cyberattack (massive DDoS, ransomware)
- War, riot, general strike
- Government decision (business prohibition)
In case of prolonged force majeure (> 30 days), both parties may terminate the contract without penalties.
Article 13 - Applicable Law and Jurisdiction
13.1 Applicable Law
These Terms of Sale are governed by French law, to the exclusion of any conflict of laws rules.
13.2 Consumer Mediation
In accordance with Article L.612-1 of the French Consumer Code, consumer Customers may use a consumer mediator free of charge in case of dispute after having contacted us and in the absence of a satisfactory response.

13.3 Competent Jurisdiction
In case of dispute not resolved amicably, the competent courts are those of Ethan Consulting’s registered office:
Commercial Court of Versailles (for professionals) Judicial Court of Versailles (for consumers)
Consumers may also bring proceedings before the court of their place of residence.
In case of disputes not resolved amicably between Ethan Consulting and a professional Customer, such disputes shall be brought before the Commercial Court within the jurisdiction of Ethan Consulting’s registered office. In case of disputes not resolved amicably between Ethan Consulting and any other Customer, such disputes shall be brought before the competent French courts.
Article 14 - Acceptance of Terms
By placing an order, the Customer acknowledges having read and accepts these Terms of Sale without reservation.
A copy of the Terms in force at the time of order is archived and accessible in the Customer’s account.
